SupporterBase Terms of Service


1. GENERAL

1.1. By using the Application (as defined below), you agree to be bound by these terms of service (“appterms”). Please review them carefully before proceeding.

2. DEFINITIONS

2.1. The “Application” shall mean SupporterBase, operated by SupporterBase Inc.

3. SUPPORTERBASE

3.1. The Application is designed to enable volunteer-led community and political organising by integrating certain functionality with your NationBuilder website and database. NationBuilder’s terms and conditions continue to apply.

4. PRIVACY AND DATA PROTECTION

4.1 SupporterBase commits to abide by our privacy and security policy in relation to the use and protection of data provided by you and your supporters.

4.2. Deliberate attempts by SupporterBase users to undermine the privacy and security controls outlined in this policy may result in access being restricted or discontinued.

5. PROPRIETARY RIGHTS AND LICENCE

5.1. All trade marks, copyright, database rights and other intellectual property rights of any nature in the Application together with the underlying software code are owned either directly by SupporterBase or SupporterBase’s licensors.

5.2. SupporterBase hereby grants you a worldwide, non-exclusive, royalty-free revocable licence to use the Application for your business and personal use in accordance with these appterms.

6. CONDITIONS OF USE

6.1. You will not, nor allow third parties on your behalf to (i) make and distribute copies of the Application (ii) attempt to copy, reproduce, alter, modify, reverse engineer, disassemble, decompile, transfer, exchange or translate the Application; or (iii) create derivative works of the Application of any kind whatsoever.

6.2. The Application is currently made available to you for a fee relating to your use and account.

6.3. Failure to pay your fee upon invoice will result in you being unable to access your account.

6.4. You agree that you will not do, cause, allow or permit the following:

  • (a) Sending spam.
  • (b) Sending emails and SMS to non-specific addresses and phone numbers.
  • (c) Failing to promptly comply with any request from a supporter to be removed from your SupporterBase.
  • (d) Disguising that communications came from you.
  • (e) Disguising the subject matter of communications.
  • (f) Sending “chain letters”, “pyramid schemes”, “junk mail”, unsolicited or unauthorised advertising, promotional materials, or similar.
  • (g) Harvesting email addresses and other data.
  • (h) Sending communications containing viruses, malware, spyware or other software, code or data which may cause harm, or may affect the security or proper operation of the website, software, the privacy of members, users or other persons.

6.5. SupporterBase is authorised to stop contact with a target recipient, immediately and without prior notice, if the target recipient requests they not be contacted.

6.6. SupporterBase is designed for use by progressives. SupporterBase Inc reserves the right to restrict access to customers that do not comply with our ethical terms of use.

7. ACCOUNTS

7.1. When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

7.2. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

7.3. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

7.4. You may not use as a name for your SupporterBase the name of another person or entity that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorisation, or a name that is otherwise offensive, vulgar or obscene.

8. SYSTEM REQUIREMENTS

8.2. The version of the Application software may be upgraded from time to time to add support for new functions and services.

9. TERMINATION

9.1. SupporterBase may terminate use of the Application at any time by giving notice of termination to you.

9.2. Upon any termination, (a) the rights and licenses granted to you herein shall terminate; (b) you must cease all use of the Software;

10. LIMITATION OF LIABILITY

10.1. You agree to indemnify, defend and hold us and our officers, directors, employees, agents, Affiliates, service providers, successors and assigns harmless from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgements, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys’ fees and costs, arising from or relating to (i) your breach of these Appterms; (ii) any user content you submit, post to or transmit through the Application; (iii) your violation of any party’s rights, including, but not limited to, intellectual property rights, right of privacy, right of publicity and confidentiality.

10.2. Nothing in these Appterms shall exclude or limit SupporterBase’s liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation or any other liability which cannot be excluded or limited under applicable law.

10.3. Although SupporterBase Inc takes all reasonable steps to ensure the security and trustworthiness of the third-party data sub-processors it works with to deliver the Application, and similarly will endeavor as much as is reasonable to assist in remedying any adverse situation, in no event will SupporterBase be liable for any direct, indirect, special, punitive, exemplary or consequential losses or damages of whatsoever kind arising from the actions of these third parties.

11. PRICING

11.1. SupporterBase Inc reserves the right to review and amend subscription pricing from time to time. Customers will be advised in writing no less than 30 days prior to any pricing changes that would affect them.

12. CHANGES

12.1. We reserve the right to modify these terms at any time and modified terms are in effect upon posting to this website. We will make every effort to inform you of these changes. Your continued use of or access to the Application following the posting of any changes to this Agreement constitutes acceptance of those changes. SupporterBase Inc may also, in the future, offer new services and/or features including the release of new tools and resources. Such new features and/or services shall be subject to the terms and conditions of this Agreement.

13. PROMOTIONS

13.1. We may wish to publish case studies and other promotional materials regarding your use of SupporterBase from time to time. We will seek your review and approval before publishing promotional material.

14. GOVERNING LAW

14.1. This agreement is subject to the governing law of the state of Delaware, United States of America
